These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (the “Patient,” “you,” or “your”) and Neuron Medical Corporation (referred to as “Neuron Medical,” the “Clinic,” “we,” “us,” or “our”). They govern your access to, use of, and receipt of any medical, diagnostic, therapeutic, wellness, or consultative services provided by the Clinic, whether in-person at our facility, via telehealth, or through our website (the “Services”). The Services include, but are not limited to, neurological evaluations, integrative and functional medicine consultations, naturopathic treatments, regenerative therapies (such as platelet-rich plasma (PRP) therapy, exosome therapy, stem cell-derived treatments, and peptide protocols), wellness intravenous (IV) nutrient therapy, genetic and biomarker testing, botulinum toxin injections for medical or cosmetic purposes, age-management programs, and any other treatments or procedures offered.

By scheduling an appointment, attending a consultation, undergoing any treatment, accessing our website, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our Services.

1. Nature of Medical Services and No Guarantee of Results

1.1 All Services are provided by licensed healthcare professionals, including board-certified neurologists, naturopathic doctors, and other qualified providers acting within the scope of their licensure.

1.2 Medical care is inherently uncertain. **We make no warranties or guarantees of any specific results, outcomes, cures, improvements, or successful treatment of any condition.** Responses to treatment vary widely due to individual factors such as genetics, lifestyle, compliance, and underlying health status.

1.3 Certain Services may involve off-label, investigational, or emerging therapies (e.g., certain peptide protocols, regenerative injections, or age-reversal treatments) that may not be fully approved by the U.S. Food and Drug Administration (FDA) for the indicated use. Patients will receive detailed information about regulatory status, evidence base, potential benefits, risks, and alternatives prior to consenting.

1.4 The Clinic does not provide emergency or urgent care services. In the event of a medical emergency, immediately call 911 or proceed to the nearest emergency department.

1.5 Telehealth consultations, when offered, are subject to the same standards of care but may have technological limitations.

2. Patient Responsibilities and Obligations

2.1 You agree to provide complete, accurate, and up-to-date medical history, including current medications, supplements, allergies, past illnesses, surgeries, and family history.

2.2 You are responsible for following all pre-treatment, treatment, and post-treatment instructions provided by our providers. Failure to comply may affect outcomes and safety.

2.3 Appointments must be kept or cancelled with at least 24 hours’ notice (or 48 hours for certain procedures). Late cancellations or no-shows may incur a fee equal to 50–100% of the scheduled service cost.

2.4 You must arrive on time. Late arrivals may result in abbreviated sessions or the need to reschedule without refund.

2.5 Patients under 18 years of age must be accompanied by a parent or legal guardian who provides informed consent.

2.6 You agree to behave respectfully toward staff, providers, and other patients. Abusive, threatening, or disruptive behavior may result in immediate termination of care and refusal of future services.

3. Appointments, Scheduling, and Refusal of Service

3.1 Appointments may be booked online, by phone, or email.

3.2 We reserve the right to refuse or discontinue Services to any individual for clinical, behavioral, or administrative reasons, including non-payment or non-compliance.

4. Payment, Billing, and Financial Responsibility

4.1 Payment is due at the time Services are rendered unless a payment plan has been pre-approved in writing.

4.2 We participate with many insurance plans and Medicare; however, many integrative, naturopathic, regenerative, and wellness Services are considered non-covered or elective. You are solely responsible for verifying your insurance benefits and obtaining any required pre-authorizations.

4.3 Co-pays, deductibles, coinsurance, and all non-covered Services are your responsibility and due at the time of service.

4.4 Self-pay patients and those receiving non-covered Services must pay in full upfront or according to an approved payment schedule.

4.5 Accepted payment methods include major credit cards, debit cards, HSA/FSA cards, and certain digital wallets. We offer secure online bill payment.

4.6 Overdue balances may accrue interest at 1.5% per month and may be referred to collections, with you responsible for associated fees.

4.7 Refunds, if applicable, will be issued only for Services not yet rendered and at the Clinic’s sole discretion.

5. Privacy, Confidentiality, and Data Protection

5.1 We are committed to protecting your privacy in compliance with the Health Insurance Portability and Accountability Act (HIPAA), California Consumer Privacy Act (CCPA), and other applicable laws.

5.2 Your protected health information (PHI) will be used and disclosed only as permitted by law and as described in our separate Notice of Privacy Practices, which is provided at your first visit and available upon request.

5.3 Website usage data may be collected anonymously for analytics, but personal health information entered online is encrypted and protected.

6. Use of the Website

6.1 The Website provides general educational information about neurology, integrative medicine, and wellness topics. **Content is not personalized medical advice and does not establish a doctor-patient relationship.**

6.2 No information on the Website should be used to diagnose, treat, cure, or prevent any disease without professional consultation.

6.3 All text, images, videos, and other materials on the Website are protected by copyright and may not be reproduced without written permission.

6.4 We are not liable for the accuracy, completeness, or availability of third-party websites linked from our Website.

7. Informed Consent, Risks, and Potential Complications

7.1 Before initiating any diagnostic procedure, therapeutic treatment, injection, infusion, or other intervention, you will receive comprehensive verbal and written information regarding the proposed Service. This will include a detailed explanation of the nature of the procedure, expected benefits, material risks, potential complications, reasonable alternatives (including no treatment), and associated costs. You will have the opportunity to ask questions, and your informed consent will be documented via a signed consent form specific to the procedure.

7.2 You acknowledge that all medical and wellness procedures carry inherent risks, and no procedure is entirely risk-free. Potential risks and complications vary by Service but may include, without limitation, the following categories and examples:

   – **General risks applicable to most procedures**: Pain at the treatment site, bruising, swelling, redness, tenderness, bleeding, hematoma, infection (local or systemic), allergic reactions (ranging from mild rash to anaphylaxis), scarring, numbness, or temporary/permanent nerve irritation.

   – **Injection-related risks** (e.g., botulinum toxin, PRP, exosomes, peptides, stem cell-derived products, joint or trigger point injections): Injection site reactions, inadvertent injection into blood vessels leading to vascular occlusion, tissue necrosis, blindness (rare, particularly with facial injections), embolism, stroke-like symptoms, asymmetry, drooping, or unintended muscle weakness.

   – **Intravenous (IV) therapy risks** (wellness nutrient infusions): Vein irritation/phlebitis, infiltration, electrolyte imbalances, fluid overload, hypersensitivity to infused substances, air embolism, or infection from catheter placement.

   – **Regenerative and biologic therapies** (PRP, exosomes, peptides, stem cell-related products): Lack of efficacy or minimal improvement, immune reactions, tumor promotion (theoretical concern with certain biologics), transmission of infectious agents (if not properly screened), inflammatory flare-ups, or joint/tissue damage.

   – **Botulinum toxin injections** (therapeutic or cosmetic): Diffusion to unintended muscles causing ptosis (eyelid droop), dysphagia (swallowing difficulty), headache, flu-like symptoms, antibody formation leading to treatment resistance, or rare systemic effects.

   – **Neurological evaluations and treatments**: Potential exacerbation of underlying symptoms, misdiagnosis (despite best efforts), or side effects from recommended medications.

   – **Naturopathic and integrative treatments**: Interactions with prescription medications or supplements, gastrointestinal upset, detoxification reactions (“healing crisis”), or delayed recognition of serious conditions if relying solely on alternative approaches.

   – **Rare but serious complications**: Hospitalization, permanent disability, organ damage, or, in extremely rare cases, death.

7.3 Certain advanced or emerging therapies may carry additional unknown or long-term risks due to limited large-scale clinical data. You will be specifically informed if a proposed treatment is considered investigational, off-label, or compassionate-use.

7.4 Risks may be higher in patients with certain comorbidities (e.g., bleeding disorders, immunosuppression, pregnancy, active cancer). Full disclosure of your medical history is essential to risk assessment.

7.5 Photographic or video documentation may be taken before, during, and after procedures for medical record purposes and to monitor progress. These images are stored securely and remain part of your confidential medical record.

7.6 You retain the right to refuse or withdraw consent for any procedure at any time without prejudice to future care (except in emergencies).

8. Intellectual Property

8.1 Ownership of Company Materials All trademarks, service marks, trade names, logos, branding elements, website design, content, text, graphics, images, audiovisual materials, proprietary treatment protocols, clinical methodologies, educational materials, software, and other intellectual property developed, owned, or licensed by Neuron Medical (collectively, the “Company Materials”) are the exclusive property of Neuron Medical and are protected under applicable United States and international intellectual property laws, including but not limited to copyright, trademark, trade secret, and unfair competition laws. No portion of the Company Materials may be copied, reproduced, distributed, modified, transmitted, displayed, published, reverse-engineered, or otherwise exploited without prior written authorization from Neuron Medical.

8.2 Third-Party Intellectual Property All informational materials, product names, trademarks, service marks, trade names, logos, scientific publications, clinical references, technologies, and other intellectual property belonging to third-party manufacturers, research institutions, licensors, or partner organizations remain the sole and exclusive property of their respective owners. Nothing contained on this Website shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any third-party intellectual property without the express written permission of the respective rights holder. All rights not expressly granted herein are reserved by Neuron Medical and/or the respective intellectual property owners.

9. Limitation of Liability and Disclaimer of Warranties

9.1 To the maximum extent permitted by law, the Clinic and its providers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Services.

9.2 Our aggregate liability shall not exceed the amount you paid for the specific Service giving rise to the claim.

9.3 Services are provided “as is” without warranties of any kind, express or implied.

10. Indemnification

10.1 You agree to indemnify, defend, and hold harmless Neuron Medical and its personnel from any claims, losses, or damages arising from your breach of these Terms, provision of inaccurate information, or misuse of Services.

11. Governing Law and Dispute Resolution
11.1 These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
11.2 Any dispute arising from these Terms or Services shall be resolved exclusively in the state or federal courts located in Ventura County, California.

12. Amendments and Severability

12.1 We may modify these Terms at any time by posting the revised version on our Website. Continued use of Services after changes constitutes acceptance of the new Terms.
12.2 If any provision is found unenforceable, the remaining provisions shall remain in full effect.
